Terms and Conditions

1. Scope

These Terms & Conditions apply to all services and offers provided by
FORM Furniture Zürich (“we”, “us”, “our”) through this website or via direct communication.

2. Services

We provide services as described on our website or agreed individually with clients.
The exact scope, timeline, and deliverables are defined in an offer, proposal, or written agreement.

3. Contract Formation

A contract is concluded when an offer is accepted in writing, including email, or when services
are confirmed and started by mutual agreement.

4. Prices and Payment

• Prices are agreed individually and may be stated as fixed prices or hourly rates.
• Invoices are payable within 14 days unless otherwise agreed in writing.
• In case of late payment, we reserve the right to charge reminder fees and/or statutory interest
  and to pause services until payment is received.

5. Client Obligations

The client agrees to:

• Provide necessary information, content, and approvals in a timely manner.
• Ensure that provided data and materials are correct and do not infringe third-party rights.
• Cooperate as required to enable the proper delivery of services.

6. Delivery Times and Delays

Delivery dates are estimates unless explicitly agreed as binding. Delays caused by missing client
feedback, incomplete inputs, third-party providers, or force majeure do not constitute a breach of
contract.

7. Liability

We are liable only for damages caused by intentional misconduct or gross negligence, to the extent
permitted by applicable law. We are not liable for indirect damages, loss of profit, or consequential
damages.

8. Intellectual Property

All concepts, documents, materials, designs, and deliverables created by
FORM Furniture Zürich remain our intellectual property until full payment has been
received, unless otherwise agreed in writing.

9. Confidentiality

Both parties agree to treat all confidential information as strictly confidential and to use it only
for the purpose of fulfilling the contract. This obligation remains in effect after the end of the
contractual relationship.

10. Third-Party Tools and Services

If third-party tools or services, such as hosting, plugins, analytics, APIs, or external platforms,
are used, the client may be subject to the terms of those providers. We are not responsible for the
availability, changes, or failures of third-party services.

11. Termination

Either party may terminate ongoing service agreements according to the conditions agreed in writing.
Work already performed must be paid according to the agreed rates or milestones.

12. Governing Law and Jurisdiction

These Terms are governed by the applicable laws of Switzerland. The place of jurisdiction is
Switzerland, unless mandatory legal provisions provide otherwise.
